Terms of service

1. Who this is between

These terms are between [Registered company name], of [Registered address] ("Clothiq", "we", "us"), and the business that opens an account ("you", "your studio").

By creating a studio you accept these terms on behalf of your business, and you confirm you are entitled to do so.

2. What we provide

Clothiq is software for running a fashion house: orders, measurements, fabric stock, tailors, deadlines, payments, deliveries and reports. We provide it as a service over the internet. We don't sew anything, hold your stock, or take payments from your customers on your behalf.

3. Your account and your staff

You are responsible for everything done under your studio's accounts, including those you create for your staff. Keep passwords private, give each person their own login, and switch off anyone who leaves.

Staff accounts cannot see prices, payments, balances, fees or reports. That is a product feature, not a security guarantee against someone you have given an owner login to.

4. Your data is yours

Your customers, measurements, orders, fabric records and payment records belong to you. We store and process them to provide the service, and for no other purpose. We do not sell them, and we do not use them to advertise to you or anyone else.

You can print or export any record at any time, including while your studio is read-only for non-payment. How we handle personal data is set out in our privacy policy.

5. Trial, fees and payment

New studios get 7 days free. We do not ask for card details, so nothing charges itself and the trial cannot roll into a paid plan by accident.

After that, the plan costs ₦15,000 per month or ₦150,000 per year, billed in NGN. Payment is by bank transfer to the account shown on your billing page, quoting your studio's reference. Your subscription is extended once we have confirmed the transfer against our bank, normally within one business day.

If you renew before your current period ends, the new period is added to the end of it. You do not lose days you have already paid for.

We may change prices. We'll tell you at least 30 days before a change affects you, and a change never applies to a period you have already paid for.

6. If a payment is late

When a paid period ends you get 3 days' grace with the service working normally. After that your studio becomes read-only: you and your staff can still open, print and export everything, but you cannot create new orders, customers, payments or stock movements until a payment is confirmed.

We do not delete your records for non-payment.

7. Refunds

Because the trial lets you test the service fully before paying, fees are generally non-refundable. If something has gone genuinely wrong, write to us — we would rather sort it out than argue about it.

8. Acceptable use

You agree not to:

• use Clothiq for anything unlawful, or to store data you have no right to hold;
• attempt to access another studio's data, or probe, scan or test our security;
• resell or rent access to the service without our written agreement;
• upload anything designed to damage the service or its other users.

We may suspend a studio that is doing any of these, and will tell you why.

9. Availability

We work to keep Clothiq available and to keep backups, but we do not promise uninterrupted service. Maintenance, hosting failures and internet problems happen. We do not offer a formal uptime guarantee at this stage, and we would rather say so than promise one we cannot police.

10. Ending it

You can stop using Clothiq whenever you like — simply stop paying, and your studio becomes read-only after the grace period. Ask us to delete your studio entirely and we will, permanently, within 30 days. Export anything you want to keep first.

We may end this agreement if you break these terms materially and do not put it right within 14 days of us asking.

11. Liability

Clothiq is a record-keeping tool. You remain responsible for your own business decisions, deadlines, pricing and tax. To the extent the law allows, we are not liable for lost profits, lost business or indirect losses, and our total liability in any 12-month period is limited to the fees you paid us in that period.

Nothing here limits liability that cannot lawfully be limited.

12. Changes to these terms

If we change these terms materially we will tell you by email and on your billing page at least 30 days beforehand. Continuing to use Clothiq after that means you accept the new version.

13. Governing law

These terms are governed by the laws of [Jurisdiction], and the courts of [Jurisdiction] have exclusive jurisdiction.
